These Terms of Service ("Terms") govern your access to and use of the website located at joinblokai.org (the "Site") operated by Blok AI Capital ("Blok AI Capital," "we," "our," or "us"). These Terms constitute a binding legal agreement between you and Blok AI Capital.

By accessing or using the Site in any way — including browsing pages, submitting contact forms, or reading content — you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Site.

The Site serves as the public website for Blok AI Capital, a seed-stage venture capital firm based in Austin, Texas. The purpose of the Site is to:

• Provide information about Blok AI Capital, its investment focus, team, and portfolio.
• Share original analysis, research, and perspectives on fintech inclusion, payments, and venture investing through our Insights section.
• Facilitate contact from founders, co-investors, and other professionals who wish to connect with our team.

The Site does not constitute an offer to sell or a solicitation of an offer to buy any securities, investment funds, or financial products of any kind. Blok AI Capital's investment management activities are conducted pursuant to separate legal agreements with limited partners and portfolio companies, which are not governed by these Terms.

All investment in venture capital and early-stage companies involves substantial risk, including the risk of total loss of capital. Past performance of any portfolio company mentioned on the Site is not indicative of future results. References to portfolio companies, investment outcomes, or market opportunities are provided for illustrative purposes only.

This Site does not constitute an offer to sell, or a solicitation of an offer to buy, any securities in any jurisdiction. No securities offering is being made through this Site. Any such offering would be made only pursuant to a confidential private placement memorandum and other definitive offering documents, and only to qualified investors meeting applicable legal requirements.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED $100 (ONE HUNDRED US DOLLARS).

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any dispute arising from or related to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

Before initiating any legal proceeding, you agree to first contact us in good faith to attempt to resolve any dispute informally. This informal resolution requirement does not apply to injunctive or other equitable relief.

15. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Blok AI Capital regarding the Site and supersede all prior agreements on this subject.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or our right to enforce it in the future.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights.
• Force Majeure: We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control.
